# Microsoft → Nuance Communications

Microsoft's second-largest acquisition at the time — $19.7bn including debt, $56 a share in cash — for the speech-recognition company whose software transcribed clinical notes in most US hospitals, bought a year before large language models made the same capability general.

An all-cash purchase at $56 a share of the speech recognition and clinical documentation vendor, delayed by a UK CMA review.

- **Acquirer:** Microsoft (United States)
- **Target:** Nuance Communications (United States)
- **Value:** $19.7B
- **Announced:** April 2021
- **Completed:** March 2022
- **Sector:** AI
- **Deal type:** acquisition

## Why it mattered

Nuance had sold its consumer and automotive speech businesses and become a healthcare company: its Dragon Medical products were used by 550,000 clinicians and its ambient documentation product listened to consultations and wrote the notes. Microsoft wanted the healthcare distribution — the hospital contracts, the EHR integrations, the regulatory approvals — for a cloud that lacked it, and paid 13 times revenue for a company growing in single digits, which said what it was buying.

The UK Competition and Markets Authority reviewed the deal for five months before clearing it unconditionally in March 2022, an early sign of the scrutiny that would meet Microsoft's larger deals. Eight months after completion, OpenAI released ChatGPT, and Nuance's ambient product was rebuilt on GPT-4 within a year as DAX Copilot.

## What it left behind

The reference case for buying vertical AI distribution just before the underlying technology became a commodity: the transcription Nuance had spent twenty years perfecting was matched by foundation models within two years of the deal, and the value that remained was the clinical workflow, the hospital relationships and the trust — which is what Microsoft had priced. It is the pattern most healthcare and fintech AI acquisitions since have followed: buy the customer and the integration, rent the model.
