FIS → Worldpay

The largest payments deal ever announced at the time: a bank-technology vendor paying $43bn including debt for the world's biggest merchant acquirer, on the theory that banks' software and merchants' payments belonged in one company.

The largest deal of the 2019 payments consolidation wave, at about $35bn in equity and $43bn including debt.

Why it mattered

FIS sold core banking systems to banks; Worldpay processed card payments for merchants in the US and the UK, itself the product of Vantiv's 2018 purchase of the British Worldpay. Putting them together was meant to give FIS a share of every transaction its bank customers' cardholders made, and to give Worldpay the balance sheet and the bank relationships to sell acquiring to financial institutions. The price — $35bn in equity, about 15 times Worldpay's forward EBITDA — was justified by $500m of cost savings and, more importantly, by revenue that never arrived.

The deal set the template and the pace for 2019: Fiserv had announced its purchase of First Data two months earlier, and Global Payments followed with TSYS two months later. Between them the three transactions spent more than $100bn consolidating US payments into three vertically integrated groups, on the shared premise that scale in processing would defend margins against the fintech entrants — Stripe, Adyen, Square — who were taking the growth.

What it left behind

The premise did not hold for merchant acquiring. Worldpay lost share to the platform acquirers, FIS took a $17.6bn impairment on it in 2023, and in the same year sold 55% of the business to GTCR at an $18.5bn valuation — less than half the price paid four years before. The unwinding completed in 2025 when Global Payments bought Worldpay outright and FIS took Global Payments' issuer-processing unit in part exchange, returning both companies to the shape they had before the wave. For deal-makers the lesson is about synergy that is really a cross-selling hope: the cost savings were delivered, the revenue that carried the multiple was not.
