# Seed Investment

Seed investment is the first institutional money into a startup: capital of roughly $500,000 to $5m from angels and seed funds, raised on a product that exists but a business that does not yet, to reach the revenue or usage that will justify a Series A. It is priced on a story and a team, structured on a SAFE or a priced round, and it sets the cap table every later round inherits.

**Also known as:** Seed round, Seed funding, Seed capital

## Key facts

- **Used at:** after founders' own money and before Series A — typically 12–24 months of runway to find product–market fit
- **Binding:** yes — a SAFE or convertible note converts at the next priced round; a priced seed round issues preferred shares with the rights that come with them
- **Typical size:** $1–5m in the US and Europe in 2024–2025, with fintech seeds at the upper end because licences and compliance cost money before revenue does
- **Typical valuation:** post-money of $8–20m, giving the round 15–25% of the company
- **Parties:** founders, angel investors, seed and pre-seed funds, and increasingly the seed programmes of larger venture firms

## How seed investment works in practice

The instrument is the first decision. A SAFE — a simple agreement for future equity — takes the money now and issues shares later, at the next priced round, at a discount to that round's price or at a valuation cap, whichever gives the investor more shares. It is fast, cheap and defers the argument about valuation. A priced round sets the valuation now, issues preferred shares, and brings the terms of a full financing: a liquidation preference, pro-rata rights, information rights, sometimes a board seat. Most US seeds are on SAFEs; European seeds are more often priced.

The money buys time to a milestone. For a fintech the milestone is usually a licence or a partner bank plus first revenue — a regulated product cannot show traction before it can legally operate, so seed rounds in fintech run larger and longer than in software generally. Investors underwrite the team's ability to get through the regulatory gate and the size of the market on the other side.

What seed investors watch afterwards is the conversion of their instrument. Several SAFEs at different caps stacked before a Series A dilute the founders in ways nobody modelled at the time; a priced round with a 1× non-participating preference is the clean base the Series A lead expects to find.

## Example

A payments startup raises a $2.5m seed on a post-money SAFE with a $12.5m cap: the investors will own 20% when it converts. Eighteen months later it raises a $10m Series A at a $40m pre-money. The SAFE converts at the cap, not the Series A price — $12.5m against $40m — so the seed investors' $2.5m buys the same shares as $8m of Series A money would. After the round the founders hold 54%, the seed investors 16%, the Series A investor 20%, and the option pool 10%. Had the seed been two SAFEs at $8m and $15m caps plus a bridge note, the founders would have ended nearer 48%, and the Series A lead would have asked why.

## Common mistakes

- Stacking SAFEs at rising caps without modelling what they do to the cap table when they convert together.
- Raising a seed sized for a software company's milestones in a business that needs a licence first.
- Taking a high valuation from an investor who will not follow on, and finding the Series A priced below it.
- Giving a seed investor a board seat and a veto that a Series A lead will insist on removing.
- Spending the round on growth before the product has a reason to be kept.
