# Data Room

A data room is the secure online repository in which a seller places the documents a buyer needs for due diligence — contracts, accounts, licences, correspondence, code — organised by topic and opened to named users under a non-disclosure agreement. Its index becomes the record of what the buyer was shown, which matters for warranties later.

**Also known as:** Virtual data room, VDR

## Key facts

- **Used at:** due diligence, from the letter of intent to signing
- **Binding:** the contents are "disclosed" against the warranties in most sale agreements
- **Typical size:** 500–5,000 documents for a mid-sized fintech
- **Access:** named users, watermarked downloads, an audit log of who opened what
- **Run by:** the seller's advisers, with the target's finance and legal teams

## How a data room works in practice

The data room is organised the way the diligence is: corporate, financial, tax, legal and contracts, employment, intellectual property and technology, regulatory, data protection. For a fintech the regulatory folder is the one buyers open first — the licence, its conditions, every letter from and to the supervisor, the safeguarding reconciliations, the annual audit of client funds, the compliance monitoring plan and the complaints log. A missing folder there is a finding in itself.

The buyer's advisers work through the index and raise questions in a tracked list; the seller answers by uploading documents, and the index grows. That growth is the point: at signing, the sale agreement will say the buyer cannot claim against a warranty for anything "fairly disclosed" in the data room, and the room's final index is attached to the disclosure letter. A document that was in the room protects the seller; one that was not is a claim waiting to happen.

Access is controlled at folder level. Merchant-level pricing, key-person contracts and source code sit in restricted folders opened only to a clean team, or only after the price is agreed, because the buyer may be a competitor until the day it is an owner.

The index is the seller's to write, and how it is written affects the price. A room organised around the buyer's question list is read quickly and cheaply; a room of 3,000 unsorted PDFs costs the buyer another two weeks of advisers' fees, and that cost comes off the offer. The best-prepared sellers open a room for their own advisers a month before the process starts, and use the questions those advisers ask to fill the gaps before a buyer sees them.

## Example

A buyer of a payment institution receives access for eight named users. Over five weeks the room grows from 1,800 to 2,650 documents as 340 questions are answered. In week four the regulatory folder gains a letter from the supervisor, dated the previous year, imposing a condition on the licence that management had described as routine; the buyer's counsel prices it into a specific indemnity of €2m. At signing the index, at 2,650 documents, is attached to the disclosure letter, and the warranty and indemnity insurer excludes the conditions in that letter from its cover.

## Common mistakes

- Uploading documents in the last week of diligence, when the buyer's advisers have no time to read them and the insurer will not cover what it has not seen.
- No audit log, so the seller cannot prove what was disclosed.
- Giving every user access to every folder, including the competitor's chief executive.
- A regulatory folder with the licence and nothing else — the correspondence is what a buyer is looking for.
- Treating "it was in the data room" as an answer to a question the buyer asked in writing and was not answered.
