# Card Network

A card network is the company — Visa, Mastercard, American Express, UnionPay and the domestic schemes — that sets the rules and runs the infrastructure connecting the bank that issued a card with the bank or acquirer serving the merchant, so that a payment authorised in one place is settled in another. Banks and licensed fintechs join as members; everyone else pays them for access.

**Also known as:** Card scheme, Payment network, Payment scheme

## Key facts

- **Used at:** every card payment, and every fintech deal that depends on one
- **The four parties:** cardholder, issuer, merchant, acquirer — the network sits between the issuer and the acquirer
- **Membership:** principal members (banks, large acquirers) and affiliates sponsored by them; a fintech's "BIN sponsor" is a principal member lending its membership
- **Fees:** interchange (issuer's, set by the network), scheme fees (the network's), assessment fees
- **In a deal:** scheme membership and BIN sponsorship are contracts, and each can be lost on a change of control

## How a card network works in practice

When a cardholder pays, the merchant's acquirer sends the transaction across the network to the cardholder's issuer, which approves or declines it in under a second; days later the network settles the money from issuer to acquirer, less the interchange the issuer keeps and the scheme fees the network charges both sides. The network wrote the rules that govern all of it — which cards are accepted where, how disputes are resolved, what security standards apply, what a merchant must be told — and it enforces them with fines and, at the limit, with expulsion.

Fintechs live inside those rules without usually being members. An issuing fintech — a neobank, a prepaid card programme — issues cards under a BIN sponsor's membership; an acquiring fintech processes merchants under a principal acquirer's. The sponsor lends its licence and its liability, charges for both, and can withdraw them with notice. That dependency is the single largest operational risk in most card-based fintechs, and the reason "our own principal membership" is a milestone worth a valuation step.

In an acquisition the network relationships are diligenced like licences. Does the scheme membership or sponsorship survive a change of control? Are there outstanding compliance findings, chargeback ratio breaches or fines? Is the sponsor's contract long enough to outlast the earn-out? A buyer that inherits a six-month notice period on the sponsorship that every card depends on has bought a business with a six-month life.

## Example

A card-issuing fintech runs 400,000 prepaid cards under a BIN sponsor's Mastercard membership, paying the sponsor 0.15% of volume plus a monthly fee, and earning interchange of 0.2% on €1.2bn of annual spend. It applies for principal membership, which needs €10m of capital held against settlement risk and takes fourteen months. A buyer values the business at €45m on the sponsored model and adds €8m to the price on completion of the membership, because the sponsor's fee falls away and the notice-period risk with it.

## Common mistakes

- Forgetting that a fintech's card programme exists only as long as its sponsor's contract.
- Diligence that reads the sponsor agreement but not the scheme's compliance correspondence.
- Ignoring the chargeback-ratio programmes, which can put a merchant portfolio into a fine regime the buyer inherits.
- Confusing scheme fees with interchange, which go to different parties and move for different reasons.
- Assuming a network membership transfers with an asset purchase.
